Terms of Service

1. Acceptance of Terms

By accessing and using BetterSign's electronic signature services ("Service"), you accept and agree to be bound by the terms and provisions of this agreement ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and BetterSign Inc. ("Company," "we," "us," or "our"), a company registered in the State of California with its principal office at 535 Mission St, 14th Floor, San Francisco, CA 94105. By creating an account or using our Service, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Service Description

BetterSign provides electronic signature and document management services that allow users to:

  • Upload, store, and manage documents securely
  • Send documents for electronic signature
  • Create and apply legally binding electronic signatures
  • Track document status and maintain audit trails
  • Generate completion certificates and compliance reports
  • Integrate with third-party applications via API

Our electronic signatures comply with the Electronic Signatures in Global and National Commerce Act (ESIGN), Uniform Electronic Transactions Act (UETA), and eIDAS regulation where applicable.

3. User Accounts and Registration

Account Creation

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized use of your account
  • One person or entity may not maintain multiple accounts

Account Verification

We may require identity verification for certain features or compliance purposes. Failure to provide requested verification may result in account limitations or suspension.

4. Acceptable Use Policy

You agree to use our Service only for lawful purposes and in accordance with these Terms. You may not:

Prohibited Activities

  • Use the Service for any illegal or unauthorized purpose
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without permission
  • Impersonate another person or entity
  • Collect or harvest personal information from other users
  • Use the Service to send spam or unsolicited communications

Content Restrictions

  • Content that violates intellectual property rights
  • Defamatory, harassing, or threatening material
  • Obscene, pornographic, or inappropriate content
  • Content that promotes illegal activities
  • Confidential information without proper authorization

5. Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Service for your personal or business purposes.

License Restrictions

Under this license, you may not:

  • Modify, copy, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble any software
  • Remove or alter any proprietary notices or labels
  • Use the Service to develop competing products or services
  • Sublicense, sell, or distribute access to the Service

API Usage

API access is subject to rate limits and additional terms. Commercial API usage requires a separate agreement and may incur additional fees.

6. Payment and Billing

Subscription Plans

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days' notice to existing subscribers
  • Taxes are calculated based on your billing address

Payment Processing

  • Payments are processed securely through third-party providers
  • You authorize us to charge your payment method for all fees
  • Failed payments may result in service suspension
  • You are responsible for keeping payment information current

Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months or unused features.

7. Service Availability

Uptime Commitment

We strive to maintain 99.9% uptime but cannot guarantee uninterrupted service. Scheduled maintenance will be announced at least 24 hours in advance when possible.

Service Modifications

  • We may modify, suspend, or discontinue features with notice
  • Emergency maintenance may occur without advance notice
  • We are not liable for service interruptions or data loss
  • Regular backups are maintained but not guaranteed

8. Intellectual Property

Our Rights

The Service, including all software, designs, text, graphics, and other content, is owned by BetterSign and protected by intellectual property laws. All rights not expressly granted are reserved.

Your Content

  • You retain ownership of documents and content you upload
  • You grant us a license to process and store your content to provide the Service
  • You represent that you have rights to all content you upload
  • We may remove content that violates these Terms or applicable law

9. Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Damages

IN NO EVENT SHALL BETTERSIGN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Liability Cap

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless BetterSign and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

Termination by You

You may terminate your account at any time by contacting support or using account settings. Termination does not relieve you of payment obligations for services already provided.

Termination by Us

  • We may suspend or terminate accounts for Terms violations
  • We may terminate accounts with 30 days' notice for any reason
  • Immediate termination may occur for serious violations
  • Upon termination, your access to the Service will cease

Data Retention After Termination

We will retain your data for 30 days after termination to allow for account reactivation. After this period, data will be permanently deleted unless required for legal compliance.

12. Governing Law

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these terms shall be brought exclusively in the state or federal courts located in San Francisco County, California, and the parties consent to personal jurisdiction in those courts.

13. Consumer Protection

Nothing in these terms limits or excludes any consumer-protection right guaranteed by applicable California consumer protection laws or any equivalent federal statute. California residents may contact the Office of the Attorney General, Bureau of Consumer Frauds and Protection, with concerns regarding these terms.

14. Dispute Resolution

Any dispute that cannot be resolved through good-faith negotiation within sixty (60) days may, at either party's election, be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the seat of arbitration in San Francisco County, California. The parties each waive any right to participate in a class action or class arbitration.

15. Email Communications

By creating a BetterSign account, you consent to receive transactional emails at the address you provide. By additionally ticking the marketing-email opt-in checkbox during signup (or anywhere else on the Service), you consent to receive recurring promotional and product emails from BetterSign at that address. Marketing consent is not a condition of any purchase, account creation, or use of the Service — it is fully optional and may be revoked at any time.

Email purpose

Emails we send may include:

  • Account verification links and login confirmations (one-time codes)
  • Security alerts (new sign-in from an unrecognised device, password changes)
  • Account updates (billing reminders, plan changes, document expirations)
  • Envelope and signature notifications (signed, declined, awaiting your action)
  • Important service announcements affecting your workflow
  • Product updates and occasional marketing letters — only with your explicit opt-in

Email frequency

Frequency varies with your account activity. Most users receive between 0 and 10 transactional emails per month; heavy users sending many envelopes may receive more. Marketing emails, if opted in, are limited to no more than 2 per month.

Costs

Message and data rates may apply. BetterSign does not charge you to send or receive these emails, but any data or storage charges from your email provider apply at their standard rates.

Unsubscribing and getting help

You can stop receiving marketing emails from us at any time, free of charge:

  • Click the Unsubscribe link in the footer of any marketing email. Your address is removed from the marketing register within 24 hours.
  • Reply to any email with HELP in the subject line to reach our support team.
  • Disable marketing emails inside your account at Settings → Notifications.
  • Transactional emails (verification, security, envelope alerts) cannot be turned off while your account is active — they are required for the Service to function.

Email deliverability

Compatible with all major email providers including Gmail, Outlook, Yahoo, Apple Mail, ProtonMail, Fastmail, and self-hosted SMTP servers. Email providers are not liable for delayed or undelivered messages.

16. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes via email or service notification at least 30 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
